Our firm has special expertise in real estate financing transactions, including permanent mortgage loans, construction loans, revolving credit facilities, standby letter-of-credit facilities, equity kicker transactions, bond financings, mortgage spreaders and splitters, mortgage warehousing facilities and co-lender transactions. We have significant experience handling negotiations for mortgage foreclosures and problem loan “work-outs,” which often require the restructuring of debt.
We represent major landlords and tenants in leasing activities for commercial, store, office and ground leases and subleases, and negotiations for lease modifications, surrender and termination agreements, lease work letters, non-disturbance and attornment agreements and lease guarantees. We have experience with all types of transfers of interests in real property, including fee and leasehold interests in commercial properties, master lease and sale-leaseback transactions, tax-free exchanges, and the real estate component of corporate asset sales and purchases.
The firm represents developers of large-scale residential and commercial projects and converters of cooperative and condominium projects in all aspects of development. We have experience representing developers and contractors in the preparation and negotiation of joint ventures, partnership agreements, construction contracts, management agreements, architect agreements, brokerage agreements, as well as franchise and license agreements.
Our practice involves all aspects of consumer real estate transactions, including the purchase and sale of single- family homes, condominiums and cooperative apartments. We assist clients in the closing of consumer mortgage loans and the evaluation of property through review of engineering reports, co-op offering plans and financial statements.
Our real estate services include negotiation of property sales, acquisitions and related financing, real property litigation, development projects and subdivisions. We have significant experience handling negotiations for mortgage foreclosures and problem loan “work-outs.”
